Acceptance of Terms

By accessing or using any Alpenglow AI product or service — including GlowVoice, HireMe, SpeakMe, ExplainMe, GlowTranslate, GlowFlow, GlowStudio, and the GlowSphere platform (collectively, the "Services") — you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" shall refer to that entity. If you do not have such authority, or do not agree to these Terms, you may not use the Services. Alpenglow AI, LLC reserves the right to update these Terms at any time. Continued use of the Services after notice of changes constitutes acceptance of the revised Terms.

Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that: • You are at least 18 years old (or the age of majority in your jurisdiction, whichever is greater); • You have the legal capacity to enter into a binding contract; • Your use of the Services does not violate any applicable law or regulation; and • You are not a person barred from receiving services under applicable law. If you are using the Services on behalf of a minor, you represent that you have obtained all necessary consents and accept full responsibility for that minor's use.

Accounts & Security

To access certain features, you must register for an account. You agree to: • Provide accurate, current, and complete registration information; • Maintain the security of your password and accept all risks of unauthorized access; • Notify Alpenglow AI, LLC immediately at support@alpenglow.ai upon discovering any unauthorized use of your account; and • Accept responsibility for all activity that occurs under your account credentials. Alpenglow AI, LLC reserves the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or are inactive for extended periods.

Subscription, Billing & Cancellation

Access to certain Services requires a paid subscription. By subscribing, you authorize Alpenglow AI, LLC to charge your payment method on a recurring basis at the applicable subscription rate. FREE TRIALS: Free trial periods, where offered, begin on the date of registration. No charge is made during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan unless you cancel before the trial expires. CANCELLATION: You may cancel your subscription at any time through your account settings or by contacting support@alpenglow.ai. Cancellation takes effect at the end of the current billing period; no refunds are provided for unused portions of a subscription period unless required by applicable law. PRICE CHANGES: Alpenglow AI, LLC reserves the right to change subscription prices upon 30 days' prior notice. Your continued use after the price change takes effect constitutes acceptance of the new price. ENTERPRISE AGREEMENTS: Custom enterprise arrangements are governed by a separate Master Service Agreement, which prevails over these Terms in the event of conflict.

Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not: • Use the Services to harass, abuse, threaten, or harm any person; • Upload, transmit, or generate content that is illegal, defamatory, obscene, fraudulent, or infringes any third-party rights; • Attempt to gain unauthorized access to any system, network, or data; • Use the Services to develop competing products or services without express written consent; • Reverse engineer, decompile, or disassemble any component of the Services; • Circumvent, disable, or interfere with security features of the Services; • Use automated means (bots, scrapers, crawlers) to access the Services except as expressly permitted by Alpenglow AI, LLC; • Use the Services in any manner that could damage, overburden, or impair the Services or servers or networks connected to the Services; • Use AI voice agents to impersonate real individuals without their consent; or • Violate any applicable local, state, national, or international law or regulation. Alpenglow AI, LLC reserves the right to investigate and, where appropriate, cooperate with law enforcement in prosecuting Users who violate these Terms.

ExplainMe — Educational Scope & Prohibited Content

ExplainMe ("Sasha") is an AI voice tutor designed exclusively for legitimate academic and professional educational purposes. By using ExplainMe, you acknowledge and agree to the following scope and content restrictions. PERMITTED SCOPE: ExplainMe is authorized for use in connection with: • Academic subjects at any level (elementary through doctoral) — including mathematics, sciences, literature, languages, history, social studies, computer science, engineering, statistics, and all standard academic disciplines; and • Professional or vocational learning in legal industries — including accounting, finance, law (academic study), medicine (academic/pre-med), engineering, data science, software development, business, education, psychology, and similar lawful professional fields. PROHIBITED CONTENT — ABSOLUTE RESTRICTIONS: You may not use ExplainMe to seek, receive, generate, or facilitate instruction, guidance, or assistance — in any form or framing — related to: • Illegal activities of any kind under any applicable law; • Violence, weapons, explosives, or methods of causing physical harm to any person or group; • Manufacturing, synthesizing, acquiring, or using controlled substances, poisons, or dangerous chemicals; • Sexual content, pornography, or sexual exploitation of any kind; • Human trafficking, sexual exploitation, or enslavement; • Fraud, theft, embezzlement, money laundering, or financial crimes; • Cybercrime, unauthorized computer access, malicious hacking, or tools for stalking or spyware; • Stalking, harassment, or surveillance of individuals without lawful consent; • Murder, terrorism, mass violence, school shootings, or workplace violence; or • Any content a reasonable person would recognize as harmful, illegal, exploitative, or inappropriate for an educational context. These restrictions apply regardless of fictional, hypothetical, research, academic, or creative framing. Attempting to use ExplainMe to circumvent these restrictions — including through indirect, coded, or layered requests — constitutes a material violation of these Terms. UPLOADED MATERIALS & COPYRIGHT: ExplainMe allows you to upload study materials, documents, and notes to enhance tutoring sessions. By uploading any content, you represent and warrant that: • You own the uploaded content or have obtained all necessary rights, licenses, and permissions to upload and use it in connection with the Services; • The uploaded content does not infringe the copyright, trademark, trade secret, or other intellectual property rights of any third party; • You will not upload copyrighted materials without authorization — including textbooks, university-branded assessments, proprietary course materials, or publisher content — unless you hold a valid license permitting such use; and • You understand that uploading infringing content may result in immediate removal, account suspension, and/or reporting to the copyright owner. Alpenglow AI, LLC does not verify the ownership of uploaded materials, but will respond to verified copyright complaints as described in Section 5B. VIOLATIONS: Alpenglow AI, LLC reserves the right to immediately suspend or terminate access to ExplainMe for any User who violates this Section, without refund, and to report violations to appropriate authorities where required by law.

Copyright & DMCA Takedown Policy

Alpenglow AI, LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"). Alpenglow AI, LLC has designated a DMCA agent and maintains a policy for responding to valid takedown notices. DESIGNATED DMCA AGENT: Copyright infringement notices should be sent to: Alpenglow AI, LLC — DMCA Agent Email: legal@alpenglow.ai Subject line: "DMCA Takedown Notice" Alpenglow AI, LLC's DMCA agent is registered with the U.S. Copyright Office as required by 17 U.S.C. § 512(c)(2). SUBMITTING A TAKEDOWN NOTICE: To submit a valid DMCA takedown notice, you must provide all of the following in writing: (1) A physical or electronic signature of the copyright owner or authorized agent; (2) Identification of the copyrighted work(s) claimed to be infringed; (3) Identification of the infringing material and its location within the Services with sufficient detail to allow Alpenglow AI, LLC to locate it; (4) Your contact information (name, address, telephone number, email); (5) A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf. Incomplete notices may not be processed. Submitting a false DMCA notice may expose you to liability under 17 U.S.C. § 512(f). COUNTER-NOTICE PROCEDURE: If you believe your content was removed in error, you may submit a counter-notice to legal@alpenglow.ai that includes: (1) your signature; (2) identification of the removed content and its prior location; (3) a statement under penalty of perjury that the removal was the result of mistake or misidentification; and (4) your name, address, phone, and consent to jurisdiction of the federal court for your district. Upon receipt of a valid counter-notice, Alpenglow AI, LLC may restore the content after 10–14 business days unless the complainant files a court action. REPEAT INFRINGER POLICY: Alpenglow AI, LLC will terminate, in appropriate circumstances, the accounts of Users who are repeat infringers of third-party intellectual property rights. SAFE HARBOR: Alpenglow AI, LLC operates as a service provider under 17 U.S.C. § 512 and does not monitor, curate, or take responsibility for User-uploaded content prior to a verified takedown notice. Upon receiving a valid notice, Alpenglow AI, LLC will act expeditiously to remove or disable access to the infringing material.

User Content & Data

"User Content" means any data, text, audio, documents, or other materials you upload, submit, or transmit through the Services, including voice recordings, resumes, job descriptions, and conversation transcripts. LICENSE GRANT: You grant Alpenglow AI, LLC a non-exclusive, worldwide, royalty-free license to host, process, transmit, and display your User Content solely to the extent necessary to provide the Services to you. This license terminates when you delete your User Content or close your account. RESPONSIBILITY: You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that you own or have all necessary rights to your User Content and that it does not violate any third-party rights or applicable law. AI TRAINING: Alpenglow AI, LLC does not use your personal User Content to train AI models without your explicit opt-in consent. Aggregate, anonymized usage data may be used to improve service quality. RETENTION: Alpenglow AI, LLC will retain User Content for the period necessary to provide the Services and as required by law, after which it will be deleted in accordance with our Privacy Policy.

Intellectual Property

COMPANY IP: The Services, including all software, algorithms, models, designs, text, graphics, logos, and other content, are owned by Alpenglow AI, LLC or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services beyond the limited license to use them. TRADEMARKS: "Alpenglow AI," "GlowVoice," "GlowTranslate," "GlowFlow," "HireMe," "SpeakMe," "ExplainMe," "GlowSphere," and related marks are trademarks of Alpenglow AI, LLC. You may not use these marks without prior written permission. FEEDBACK: If you provide suggestions, ideas, or feedback regarding the Services, you grant Alpenglow AI, LLC a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation or attribution to you.

Third-Party Services & Integrations

The Services may integrate with or link to third-party products, services, or websites ("Third-Party Services"). Alpenglow AI, LLC does not control and is not responsible for Third-Party Services, their availability, accuracy, content, or privacy practices. Your use of Third-Party Services is subject to their respective terms of service and privacy policies. Alpenglow AI, LLC makes no warranties regarding Third-Party Services and shall not be liable for any loss or damage arising from your use of or reliance on them. The Services are built using infrastructure from third-party cloud providers (including Microsoft Azure, AWS, and NVIDIA). Service availability is subject to the availability of these underlying platforms.

Data Privacy & Security

Alpenglow AI, LLC's collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into and forms part of these Terms. Alpenglow AI, LLC implements commercially reasonable technical and organizational security measures to protect your data. However, no method of transmission over the internet or electronic storage is 100% secure. You acknowledge and accept that Alpenglow AI, LLC cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Alpenglow AI, LLC shall not be liable for loss or damage arising from your failure to maintain the security of your account.

AI Services Disclaimer

THE SERVICES INCLUDE AI-POWERED FEATURES INCLUDING VOICE AGENTS, AUTOMATED COACHING, LANGUAGE LEARNING, RESUME OPTIMIZATION, TRANSLATION, AND ROLE AUTOMATION. YOU ACKNOWLEDGE AND AGREE THAT: EMPLOYMENT & CAREER CONTENT: HireMe and related coaching features are provided for interview practice and preparation purposes only. AI-generated interview feedback, performance scores, and career guidance do NOT constitute professional career counseling, licensed employment advice, or any guarantee of employment outcomes. AI interview scores are relative coaching indicators — they are not professionally certified assessments and should not be represented to employers or others as objective measures of interview ability or qualifications. Results will vary significantly based on individual circumstances, employer requirements, and factors entirely outside Alpenglow AI, LLC's control. AI-GENERATED RESUME CONTENT: GlowBoost and HireMe generate AI-assisted resume suggestions, rewrites, keyword optimizations, and bullet point recommendations. This AI-generated content is provided for reference and editing purposes only. AI-generated resume content may contain inaccuracies, fabricated details, phrasing that does not accurately reflect your experience, or suggestions inappropriate for your specific context. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND EDITING ALL AI-GENERATED RESUME CONTENT BEFORE SUBMITTING IT TO ANY EMPLOYER, INSTITUTION, OR THIRD PARTY. Submitting AI-generated content that misrepresents your qualifications, experience, or credentials may constitute fraud or misrepresentation under applicable law — Alpenglow AI, LLC bears no responsibility for such submissions or their consequences. Alpenglow AI, LLC does not guarantee that AI-generated resume content will pass any employer's screening process, ATS system, or human review. LANGUAGE PROFICIENCY ESTIMATES: SpeakMe generates AI-estimated CEFR (Common European Framework of Reference) language proficiency level indicators based on session performance. These estimates are AI approximations for coaching and practice guidance only. They are NOT official language certifications, are NOT issued by any accredited examination body, and CANNOT be used as proof of language proficiency for academic admission, visa applications, employment authorization, or any other official purpose. Official CEFR certifications must be obtained from accredited examination bodies such as DELF/DALF, Goethe-Institut, DELE, JLPT, and similar organizations. EDUCATIONAL CONTENT: ExplainMe provides AI tutoring and academic coaching for supplemental educational purposes only. AI tutoring does not replace accredited instruction, qualified educators, or your academic institution's resources. AI-generated explanations, problem solutions, and study content may contain errors, especially on specialized, technical, or recently updated subject matter. You are responsible for verifying important information with authoritative academic sources before relying on it in an exam, academic submission, or professional context. TRANSLATION ACCURACY: GlowTranslate provides AI-assisted translation and localization. Translated content may not be suitable for high-stakes contexts (legal documents, medical instructions, financial disclosures, regulatory filings) without human expert review. Alpenglow AI, LLC is not responsible for errors, omissions, or consequences arising from AI-generated translations. AI OUTPUT ACCURACY — GENERAL: All AI-generated outputs, responses, recommendations, scores, and content across all Services may be incorrect, incomplete, outdated, or contextually inappropriate. Large language models can hallucinate facts, misremember information, and generate plausible-sounding but inaccurate content. You are solely responsible for independently verifying any information generated by the Services before relying on it for any important decision, submission, or action. INDEMNIFICATION FOR AI CONTENT RELIANCE: In addition to the general indemnification in Section 13, you agree to indemnify and hold harmless the Indemnified Parties from any claim, loss, damage, or liability arising from: (a) your submission of AI-generated resume content to any employer, institution, or third party without adequate review and verification; (b) misrepresentation of AI coaching scores, CEFR estimates, or other AI-generated assessments as professional certifications or authoritative evaluations; or (c) any decision — including employment, academic, financial, or legal decisions — made in reliance on AI-generated content from the Services without independent verification. VOICE DATA: Voice sessions are transcribed and processed in real time to provide the Services. Raw audio is not stored. By enabling voice features, you consent to this processing in accordance with our Privacy Policy.

NOT A MENTAL HEALTH SERVICE: The Services — including all GlowVoice agents (HireMe, SpeakMe, ExplainMe, and any custom agent), GlowTranslate, and GlowFlow — are NOT mental health services, crisis intervention services, counseling services, therapy services, or emergency services of any kind. The AI agents powering these Services are not therapists, psychiatrists, psychologists, licensed counselors, crisis counselors, social workers, or medical professionals. NO CLINICAL RELATIONSHIP: No clinical, therapeutic, or professional relationship of any kind is created between you and Alpenglow AI, LLC or between you and any AI agent operated by Alpenglow AI, LLC by virtue of your use of the Services. NOT FOR CRISIS USE: The Services are not designed, trained, or appropriate for use during a mental health crisis, medical emergency, or any situation involving risk to life. You must not use the Services as a substitute for professional mental health care, crisis intervention, or emergency services. IF YOU ARE IN CRISIS: If you or someone you know is experiencing a mental health crisis, thoughts of suicide or self-harm, or any emergency situation, stop using the Services and contact emergency services immediately: • United States — Call or text 988 (Suicide & Crisis Lifeline), 24/7 • Emergency services — Call 911 (US) or your local emergency number • Crisis Text Line — Text HOME to 741741 (US, Canada, UK, Ireland) • International resources — findahelpline.com IN-PRODUCT SAFETY MEASURES: Alpenglow AI, LLC implements automated safety detection that monitors for keywords and patterns associated with crisis situations. When such signals are detected, the AI agent is designed to pause its primary task and direct users to the appropriate crisis resources listed above. Alpenglow AI, LLC logs safety-event metadata (not conversation content) solely to verify these safety measures are functioning. By using the Services, you consent to this safety-event logging as described in our Privacy Policy. ACKNOWLEDGMENT OF LIMITATIONS: You acknowledge that AI agents can misunderstand context, generate inappropriate responses, and cannot perceive or respond to emotional distress with the competence of a trained human professional. Alpenglow AI, LLC expressly disclaims all responsibility for any harm arising from reliance on AI agent responses in connection with mental health, emotional distress, or crisis situations. INDEMNIFICATION FOR CRISIS MISUSE: In addition to the general indemnification in Section 13, you agree to indemnify and hold harmless the Indemnified Parties from any claim arising from your use or another person's use of the Services as a mental health resource, crisis service, or emotional support service, where such use was in violation of this Section 10A. PARENTAL / INSTITUTIONAL RESPONSIBILITY: If you are a parent, guardian, educational institution, or employer that has authorized minors or other individuals to use the Services, you accept full responsibility for ensuring those individuals understand and comply with this Section, and that they have access to appropriate human mental health resources.

GlowStudio & AI-Generated Media — No Guarantees

GlowStudio generates images, video, audio, story bibles, prompts, and related media ("AI Output") using generative AI models, including third-party models provided through Microsoft Azure, OpenAI, Google, Alibaba, and other vendors. By using GlowStudio and its creative tools, you acknowledge and agree to the following. NON-DETERMINISTIC BY NATURE: AI media generation is inherently probabilistic and non-deterministic. The same or similar inputs may produce different results on different runs. AI Output may contain errors, artifacts, distortions, unexpected or unintended elements, missing or altered characters or details, illegible text, or content that does not match your prompt, reference images ("anchors"), storyline, or expectations ("hallucinations"). Model behavior, quality, availability, and pricing are controlled by the underlying model providers and may change, degrade, or be discontinued at any time, outside Alpenglow AI, LLC's control. TOOLS ARE BEST-EFFORT AIDS, NOT GUARANTEES: GlowStudio provides features intended to help you improve results and reduce the likelihood of regenerations ("redos") — including GlowLens, GlowCheck, GlowFirst, the GlowActors and anchor registry, GlowShot Plan, GlowMatch, and prompt-quality analysis and repair (collectively, the "Creative Tools"). The Creative Tools only ATTEMPT to identify potential issues and reduce redo-causing patterns. THEY DO NOT ELIMINATE, PREVENT, OR GUARANTEE ANY REDUCTION IN redos, errors, hallucinations, or regenerations, and they do not guarantee any particular result, quality, accuracy, fidelity, first-pass success, cost, or credit usage. SCORES AND RATINGS ARE GUIDANCE, NOT PREDICTIONS: Any GlowLens (or similar) score, percentage, rating, verdict, warning, or suggestion is an ADVISORY ESTIMATE of how well a prompt appears to follow best practices. It is NOT a probability, forecast, or guarantee that a generation will or will not require a redo. A favorable score does not guarantee a successful or satisfactory result, and an unfavorable score does not guarantee an unsuccessful one. Because prompts are variable and models are non-deterministic, outcomes cannot be guaranteed. CREDITS AND REGENERATIONS: Generating AI Output consumes credits (or applicable usage units) for EACH generation attempt, including regenerations, retries, and outputs you find unsatisfactory or that require a redo. Except as required by applicable law, credits consumed for AI generation are non-refundable, and dissatisfaction with AI Output, the need to regenerate, or the results of any Creative Tool is not grounds for a refund, credit, or chargeback. YOUR RESPONSIBILITY: You are solely responsible for the prompts, descriptions, references, and other inputs you provide; for reviewing, verifying, and approving all AI Output before you use, publish, distribute, or rely on it; and for ensuring you hold all necessary rights to your inputs and that your inputs and outputs comply with applicable law, these Terms, and any third-party model provider's acceptable-use policies. AI Output and Creative Tool guidance do not constitute professional, legal, medical, or financial advice. NO WARRANTY; LIMITATION OF LIABILITY: The Creative Tools and all AI Output are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, as further described in Sections 11 and 12. To the maximum extent permitted by applicable law, Alpenglow AI, LLC is not liable for any damages arising from the probabilistic or non-deterministic nature of AI generation; hallucinations, errors, or unexpected AI Output; regenerations or redos or the number thereof; reliance on any Creative Tool score, estimate, verdict, warning, or suggestion; or changes to or unavailability of any underlying third-party model.

Mobile Applications & App Store Subscriptions

Certain Services are offered as mobile applications distributed through the Apple App Store and Google Play Store (the "App Stores"). This Section applies to any current or future Alpenglow AI mobile application — including, without limitation, RacquetRoster, DirtRoster and other GlowSports apps, and any GlowStudio, GlowSona, GlowTranslate, GlowVoice, or other Alpenglow AI mobile application. By downloading or using an Alpenglow AI mobile application, you agree to the following in addition to these Terms. APP LICENSE (STANDARD EULA): Your license to use an Alpenglow AI mobile application is governed by the applicable App Store's standard end-user license agreement — for Apple, the Licensed Application End User License Agreement (Apple's "Standard EULA"), available at https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ — except to the extent these Terms provide additional or superseding terms governing the Services. Apple and Google are not parties to these Terms, are not responsible for the Services or their content, and have no obligation to furnish any maintenance or support for the applications. AUTO-RENEWABLE SUBSCRIPTIONS: Paid mobile plans are auto-renewable subscriptions billed through your App Store account. Unless auto-renew is turned off at least 24 hours before the end of the current period, the subscription automatically renews, and your App Store account is charged for renewal at the then-current price within 24 hours prior to the end of the period. The subscription name, length, included features, and price are disclosed at the point of purchase within the App Store interface. MANAGING & CANCELLING: You manage or cancel a mobile subscription through your App Store account settings (Apple: Settings → your name → Subscriptions; Google Play: Play Store → Subscriptions), not within the app or by contacting Alpenglow AI, LLC. Deleting the application does not cancel a subscription. Except where required by the applicable App Store's policies or by applicable law, subscription fees are non-refundable, and refund requests for App Store purchases are handled by the applicable App Store, not by Alpenglow AI, LLC. PLATFORM BILLING GOVERNS: All mobile in-app purchases and subscriptions are processed by the applicable App Store and are subject to that store's payment and subscription terms, which control over the billing provisions of Section 4 to the extent of any conflict for mobile purchases. You must comply with the applicable App Store's usage rules, and the App Store providers are third-party beneficiaries of these Terms with the right to enforce them against you as they relate to your licensed use of the applications.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALPENGLOW AI, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR AI-GENERATED OUTPUT; • WARRANTIES THAT DEFECTS WILL BE CORRECTED; AND • WARRANTIES REGARDING RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICES. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALPENGLOW AI, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY: • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; • LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS; • LOSS OF EMPLOYMENT, MISSED JOB OPPORTUNITIES, OR ADVERSE EMPLOYMENT DECISIONS; • BUSINESS INTERRUPTION OR LOSS OF BUSINESS OPPORTUNITY; • ANY PHYSICAL, PSYCHOLOGICAL, OR EMOTIONAL HARM, INCLUDING HARM ARISING FROM RELIANCE ON AI-GENERATED CONTENT IN A MENTAL HEALTH, CRISIS, OR EMOTIONAL DISTRESS CONTEXT; OR • ANY OTHER LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ALPENGLOW AI, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE. AGGREGATE LIABILITY CAP: ALPENGLOW AI, LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO ALPENGLOW AI, LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). The foregoing limitations apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Alpenglow AI, LLC, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) YOUR USE OR MISUSE OF THE SERVICES, including any activity conducted under your account by you or any third party using your credentials; (b) YOUR USER CONTENT, including any claim that your User Content infringes, misappropriates, or violates any third-party intellectual property rights, privacy rights, or other rights; (c) YOUR VIOLATION OF THESE TERMS or any representation, warranty, or agreement made herein; (d) YOUR VIOLATION OF ANY APPLICABLE LAW, REGULATION, OR THIRD-PARTY RIGHT, including employment laws, data protection laws, consumer protection laws, and anti-discrimination laws; (e) ANY DISPUTE BETWEEN YOU AND A THIRD PARTY, including employers, co-workers, or educational institutions arising from your use of the Services; (f) MISREPRESENTATION OR FRAUD, including any false or misleading information you provide to Alpenglow AI, LLC or through the Services; or (g) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT on your part in connection with the Services. Alpenglow AI, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Alpenglow AI, LLC in asserting any available defenses and to not settle any claim without Alpenglow AI, LLC's prior written consent. You shall not, in any event, settle any claim or matter under this section without the prior written consent of Alpenglow AI, LLC. ENTERPRISE CUSTOMERS: If you are accessing the Services under a Master Service Agreement on behalf of an organization, indemnification obligations apply to both the organization and individual users accessing Services under that agreement.

Service Availability & Modifications

Alpenglow AI, LLC does not guarantee that the Services will be available at all times or without interruption. The Services may be temporarily unavailable due to scheduled maintenance, unscheduled outages, or events beyond Alpenglow AI, LLC's reasonable control. Alpenglow AI, LLC reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. Alpenglow AI, LLC shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services. For paid subscribers, if Alpenglow AI, LLC discontinues a Service, Alpenglow AI, LLC will provide at least 30 days' notice and, at its discretion, offer a prorated refund for the unused subscription period.

Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. INFORMAL RESOLUTION: Before initiating formal dispute proceedings, you agree to first contact Alpenglow AI, LLC at legal@alpenglow.ai and provide a written description of the dispute, the relief sought, and your contact information. You and Alpenglow AI, LLC agree to attempt in good faith to resolve the dispute informally within 30 days. BINDING ARBITRATION: If the dispute is not resolved informally, you and Alpenglow AI, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including claims of fraud, misrepresentation, and statutory violations) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer or Commercial Arbitration Rules, as applicable. The arbitration shall be conducted in Colorado or, at your election, by video conference. CLASS ACTION WAIVER: YOU AND ALPENGLOW AI, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding. EXCEPTIONS: Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to protect confidential information, without waiving the right to arbitration for the underlying dispute. SMALL CLAIMS: You may also bring an individual claim in small claims court in your county if the claim qualifies. JURY TRIAL WAIVER: TO THE EXTENT ANY CLAIM IS NOT SUBJECT TO ARBITRATION, YOU AND ALPENGLOW AI, LLC EACH WAIVE ANY RIGHT TO A JURY TRIAL.

Governing Law & Jurisdiction

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration, you and Alpenglow AI, LLC consent to the exclusive personal jurisdiction of the state and federal courts located in Denver, Colorado, and waive any objection to such venue on grounds of inconvenience or otherwise.

Termination

TERMINATION BY YOU: You may terminate your account at any time by canceling your subscription and deleting your account through the account settings. Termination does not entitle you to a refund except as expressly stated in Section 4 or required by applicable law. TERMINATION BY Alpenglow AI, LLC: Alpenglow AI, LLC may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including for violations of these Terms, non-payment, prolonged inactivity, or any reason Alpenglow AI, LLC deems appropriate in its sole discretion. EFFECT OF TERMINATION: Upon termination, your right to use the Services immediately ceases. Sections 6 (User Content), 7 (Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), 15 (Dispute Resolution), and 16 (Governing Law) shall survive termination. Alpenglow AI, LLC will retain your data for a reasonable period following termination before deleting it, as described in our Privacy Policy.

General Provisions

ENTIRE AGREEMENT: These Terms, together with the Privacy Policy and any applicable Master Service Agreement or Order Form, constitute the entire agreement between you and Alpenglow AI, LLC regarding the Services and supersede all prior agreements, understandings, and representations. SEVERABILITY: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect. WAIVER: Alpenglow AI, LLC's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future. ASSIGNMENT: You may not assign or transfer your rights under these Terms without Alpenglow AI, LLC's prior written consent. Alpenglow AI, LLC may freely assign its rights without restriction. FORCE MAJEURE: Alpenglow AI, LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet outages, or governmental actions. NOTICES: Legal notices to Alpenglow AI, LLC must be sent to legal@alpenglow.ai or to Alpenglow AI, LLC's registered address on file with the Colorado Secretary of State. Alpenglow AI, LLC may send notices to the email address associated with your account. NO THIRD-PARTY BENEFICIARIES: These Terms are for the sole benefit of the parties and do not create any third-party beneficiary rights.
